1 Description of Service

VERBİ Sistem is a specialized cloud-hosted Software-as-a-Service (SaaS) platform designed for non-governmental organizations (NGOs), charities, foundations, and humanitarian associations to manage their digital workflows, communications, and administrative operations.

Depending on the chosen plan (V1 Web, V2 Admin, V3 Mobile App, V4 Multi-Branch), features may include digital portal management, donor tracking, activity and content publishing, staff task management, field operations, and integrations with third-party service providers.

The scope of the software subscription, included features, and licensing fees are transparently communicated prior to purchase on our website or through an official proposal.

2 Pricing and Taxes

VERBİ Sistem services are delivered as digital software subscriptions comprising a one-time license activation and configuration fee, coupled with recurring monthly or annual cloud subscription fees.

Tax Notice: All listed prices exclude applicable taxes (VAT, Sales Tax, GST). Taxes are calculated and collected dynamically by our Merchant of Record, Paddle, during the checkout process based on your registered billing country.

Prior to completing an order, customers will clearly review the selected product, total fees, recurring interval, and tax amount.

3 Recurring Subscriptions

Monthly and annual subscription plans automatically renew at the conclusion of each billing period unless cancelled by the customer prior to the renewal date.

Customers maintain the right to cancel their subscription at any time without penalty.

4 Payments via Paddle (Merchant of Record)

Our order process is conducted by our online reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle").

Paddle handles order processing, payment collection, invoicing, tax remittance, fraud detection, and returns. Transactions through Paddle are also subject to Paddle's Buyer Terms and Privacy Notice.

5 Subscription Cancellation

Customers can easily cancel recurring subscriptions at any time via the Paddle customer management portal link provided in purchase confirmation emails, through paddle.net, or by contacting our support team.

Cancellation stops future automated renewals immediately. Access to the platform remains active through the end of the prepaid billing period.

6 14-Day Money-Back Guarantee and Refunds

We provide a 14-day full refund guarantee. If you are not satisfied with VERBİ Sistem for any reason, you are entitled to request a complete 100% refund within 14 days of your initial purchase date, covering both the subscription fee and the initial license activation and setup fee.

7 Account Responsibilities

Users must provide accurate, up-to-date institutional credentials when registering an organization account.

Maintaining credentials confidentiality and securing authorized user accounts remains the sole responsibility of the customer. Any suspected unauthorized access must be reported promptly.

8 Acceptable Use Policy

VERBİ Sistem may only be used for legitimate, lawful organizational purposes. Customers strictly agree not to use the platform for unlawful fundraising, deceptive practices, malware distribution, unauthorized data mining, security testing without prior written consent, or infringement upon third-party intellectual property or privacy rights.

Violations may result in immediate suspension or permanent termination of platform access.

9 Customer Data and Content

Customers retain full ownership of all organizational records, beneficiary data, documents, and media uploaded to the system.

VERBİ Sistem processes such content exclusively for the purpose of operating, maintaining, securing, and backing up the software services.

10 Intellectual Property

All source code, user interfaces, branding, software architecture, designs, and documentation comprising VERBİ Sistem are the exclusive intellectual property of Nimedya Yazılım ve Dijital Hizmetler Ltd. Şti.

Customers are granted a non-exclusive, non-transferable license to utilize the software during the term of their active subscription. Reverse engineering, unauthorized reproduction, or unauthorized redistribution is strictly prohibited.

11 Third-Party Integrations

The platform enables optional integrations with third-party providers (e.g. cloud hosting, SMS gateways, payment processors, transactional email). The availability and compliance of those third-party services are subject to their respective terms and policies.

12 Service Availability

We implement commercially reasonable technical standards to ensure high platform uptime and reliability. Periodic maintenance, telecommunication interruptions, or force majeure events outside of our reasonable control may cause temporary service interruptions.

13 Limitation of Liability

To the maximum extent permitted by applicable law, Nimedya shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or business opportunities resulting from platform downtime or improper use by customer staff.

14 Company Identity, Governing Law & Jurisdiction

VERBİ Sistem is a proprietary brand of Nimedya Yazılım ve Dijital Hizmetler Ltd. Şti., legally registered and operating in the Republic of Turkey.

Governing Law and Dispute Resolution: These Terms of Service and any contractual relationship arising between the parties shall be governed by and construed in accordance with the laws of the Republic of Turkey. The Courts and Enforcement Offices of Trabzon, Turkey have exclusive jurisdiction to settle any disputes arising from these Terms.
